Management and Oversight Team

The team is made up of the Board of Directors, the Board of Statutory Auditors, and the Supervisory Body pursuant to Legislative Decree 231/01. Code of Ethics

The Code of Ethics emphasizes Eurospital’s commitment to operating with fairness and in full compliance with regulations. It is a key document that promotes high professional standards and the protection of personal data; it also reflects Eurospital’s awareness of the importance of control systems for the prevention of unlawful conduct, explicitly prohibiting behaviors that conflict with legal provisions and the principles outlined in the Code.

Organisational, Management and Control Model – Legislative Decree 231

Eurospital has adopted its own Organisational, Management and Control Model (MOGC), a system of conduct rules that govern the company’s activities with the aim of preventing the commission of the various types of offences covered by Legislative Decree 231/2001.

Below is the General Section of the MOGC, which outlines its objectives and key principles; the methodological approach; the structure and functioning of the Supervisory Body, which monitors the effective implementation of the MOGC and proposes adjustments and updates; the disciplinary system; and the training and awareness activities aimed at ensuring full transparency and proper implementation by all employees.

Whistleblowing

To ensure full implementation of the Code of Ethics and the Organisational, Management and Control Model (MOGC) — and to protect the interests of the company and all its stakeholders — in compliance with Legislative Decree 24/2023, Eurospital has adopted a whistleblowing policy for reporting conduct that is not in line with the provisions of Legislative Decree 231/2001 or that violates national or EU rights.

Eurospital has developed a dedicated platform for submitting reports, allowing whistleblowers to keep their identity confidential.
